In 2009, CIPC ceased to register any Close Corporations (CCs). Before 2009, there were two different company formats that could be registered: CC and Private Company (Pty) Ltd. However, these were “merged” under the Companies Act of 2008, and new companies have only utilized the Pty Company format since then.

Frequently Asked Questions

1. Share liquidity: The proprietors of your business will now be shareholders, receiving a fixed number of shares each. This makes it very easy for the business to trade its shares with new investors.

2. Imports and Exports: A CC will typically not be accepted as a Company format if your business works with any foreign clients. You should convert your CC to a Pty as soon as possible in this situation.

1. Your company’s name will finish in “Pty (Ltd)” rather than “CC.”

2. The present members are going to be the directors of the company. A certain number of shares in the PTY Company will belong to each Director.

3. As stated below, you will obtain company documents in compliance with the most recent Companies Act of 2008:

COR14.3: Certificate of Company Registration (formerly CK1 document for CCs).
Forms for the appointment of directors are COR14.1 and CoR14.1A.
The abbreviated format version of the Memorandum of Incorporation (MOI), as recommended by CIPC, is COR15.1A. Please indicate if you would want the Long MOI or your own Custom MOI.

A private corporation and a CC are comparable. It needs to register as a taxpayer in and of itself because it is a separate legal entity with perpetual succession and its own legal identity. A CC has no shareholders since it lacks share capital.
