A BEE Affidavit is a sworn statement that declares the level of black ownership in your company. If your company’s annual turnover is below R10 million, you’re classified as an Exempt Micro Enterprise (EME). Instead of a BEE Certificate, EMEs use this affidavit for tenders and CSD registration. It’s a simpler, more efficient way to confirm your BEE status, keeping you compliant with South African regulations.

You can read more about the BEE law here.

A B-BBEE Affidavit is:

A simple document that states what your level of Black Ownership is. You can simply fill out a free B-BEE Affidavit template accurately and then have it signed and stamped by an official Commissioner of Oath. Once officiated, this will serve as your official B-BBEE Certificate until you hit the R10 million mark of annual turnover. Then it’s compulsory for you to get an official B-BBEE Certificate.

A B-BBEE Certificate is:

The document you need if your company earns (its sales are) R10 million or more per year. If your annual turnover is above R 10 million per year and you require a BEE certificate, then please visit our BEE certificate page here.

A Certificate issued by SANAS after your Company has gone through a verification process through a Verification Agency.

For certain Contracts and Tenders in South Africa, you need a Company that has 10% Black Ownership. In most cases, you need a BEE Level 1 or 2 Company structured correctly.

One of the easiest ways to go about this is to setup a Trust according to your BEE needs.

According to the B-BBEE Act, a Trust can be created to facilitate the ownership by employees, communities, or similar groups.

The Trust can then be made the Shareholder of a Company, instead of individuals. This is called a BEE Trust.

Also consider looking at the registration of a co operative, if you looking to establish a collective in your community.

Congratulations on your business growth! Once your annual sales surpass R10 million, your BEE Affidavit no longer serves as your official BEE Certificate. Instead, you’ll need to undergo a BEE Verification process to obtain a formal BEE Certificate. Don’t worry; Company Partners can guide you through this transition seamlessly.

Your BEE Affidavit is valid for one year from the date stamped by the Commissioner of Oaths. It’s a handy document, allowing you to participate in various tenders and contracts throughout the year without any hassles.

Certainly! The CIPC (Companies and Intellectual Property Commission) has specific regulations concerning BEE Certificates and Affidavits. While the BEE Affidavit declares your company’s black ownership level, it must be officiated either by the CIPC or a Commissioner of Oath. This ensures that the information provided is accurate and trustworthy, aligning with South Africa’s commitment to transparent and fair business practices.

The Legal Sector B-BBEE Code is a set of guidelines under the Broad-Based Black Economic Empowerment (B-BBEE) Act, 2003, tailored specifically to enhance Black representation and economic inclusion within the South African legal industry. This code outlines specific targets and requirements that law firms and legal entities must meet to comply with B-BBEE standards.

The 2024 update, gazetted on 20 September, refines the Legal sector B-BBEE code for legal practitioners.

New requirements emphasize areas like ownership, management control, skills development, and socio-economic development.

Law firms must meet these revised standards to maintain or improve their B-BBEE compliance ratings, especially if seeking government contracts or industry recognition.
