What is the meaning of a Close Corporation?

Much like a PTY, Close Corporations (or otherwise known as a CC) are the old format of a private company registration. A company registered before 2011 was classified as a CC. CCs are subject to the same legal requirements as a PTY and are an entity on their own with legal tax obligations alike. The only difference, CCs do not hold shares and, therefore, do not have shareholders. But rather hold Member interests and hold members to the company.

Both Private Companies (PTY) and Close Corporations (CC) are legal entities and have limited liability of members or shareholders.

Private Companies (or more commonly known as a PTY) have a greater number of directors and/or shareholders that may be appointed on the company – 50 shareholders being the maximum. You are also able to appoint other companies or trusts as a shareholder on a PTY entity. Directors of a PTY company run the day-to-day operations of the company, whilst the shareholders own the company. A private company needs the services of an auditor or chartered accountant although there are some exclusions. Also, Private Companies need to hold an AGM and the cost to register is higher.

With a members limit of a maximum of 10 natural people, meaning actual persons, a CC is often the chosen format of an entity for small businesses. The general rules or obligations for a CC may sometime be more relaxed, CCs do not need to convene an AGM. However, an accounting officer or bookkeeper will need to be assigned.

It is no longer possible to register a CC in South Africa, in accordance with the new Companies Act (Act 71 of 2008). However, you are still able to upkeep and buy/sell pre–registered CCs.
