The Companies and Intellectual Property Commission (CIPC) is the government body that maintains South Africa’s company register. When the CIPC approves an incorporation, the business becomes a registered legal entity with its own official name or enterprise number, incorporation date and company registration number.

A private company is separate from its owners and can enter into contracts, own assets and incur liabilities in its own name. This is referred to as a separate legal personality.

This separation can provide limited-liability protection, although directors and shareholders are not protected from fraud, reckless trading, personal guarantees or other circumstances where personal liability may arise.

CIPC company registration is different from a sole proprietorship. A sole proprietor trades in their personal capacity (i.e. in your own name). There is no process to start a sole proprietorship nor any paperwork, as you and the company are the same. This is the simplest way to start but also brings with it the most risk, such as the banks taking your personal belongings to pay for company debt.

According to the CIPC’s 2024/25 Annual Report, 488,355 company registrations were processed during the 2024/25 financial year, up from 402,517 in 2023/24. Showing that South Africans are motivated to start their own companies.

What Are the Company Registration Documents and Details You Need?

The phrase company registration documents can mean two different things:

  • The information or supporting documents needed to apply; and
  • The official records received after the company is registered.


Confusing these two groups often causes entrepreneurs to believe they have everything needed to trade when they only have the CIPC certificate.

Information to Prepare Before You Apply

For a standard private company, prepare the following:

  • A valid South African ID number for each South African director and incorporator;
  • A valid passport and any additional supporting documents required for a non-South African director or incorporator;
  • Full names, dates of birth and countries of origin;
  • A separate mobile number and email address for each director where the CIPC process requires individual verification;
  • Residential, postal and company addresses, including a physical address in South Africa;
  • The company’s contact number, email address and financial year-end;
  • Details of the directors, incorporators and intended shareholding structure;
  • The number of authorised shares for the standard Memorandum of Incorporation (MOI); and
  • One to four proposed company names, unless you choose to register under the enterprise number.

Depending on the filing channel and the people involved, CIPC or the service provider may also request signed forms, certified identity documents, proof of address or a power of attorney.

You can complete a standard private company registration through the CIPC enterprise registration channels, including New e-Services and BizPortal. The screens and verification steps may change, but the decisions behind the process remain similar.

The DIY Online Process

Choose the correct company type

A private company is common for a profit-making SME, but it is not automatically correct for a non-profit organisation, co-operative, external company or regulated professional practice.

Decide on directors, ownership and shares

Directors manage the company. Shareholders own its shares. The same people may fill both roles, but the concepts must not be confused.

Choose a company name

Submit up to four names in order of preference or continue with the enterprise number.

Create and verify your CIPC profile

Register on CIPC e-Services and complete the identity and contact-verification steps.

Enter the company information

Capture the addresses, contacts, financial year-end, authorised shares, director and incorporator details.

Select the MOI

A standard private company normally uses the short standard MOI. A customised MOI requires a different process and takes longer.

Pay the prescribed fee

Make sure the payment is correctly allocated to the transaction and avoid submitting duplicate applications.

Complete director verification or sign generated documents

Follow the instructions for the filing channel and respond promptly to every director-verification request.

Submit and monitor the application

Check the portal and email account used for the application. If CIPC requests a correction, deal with it immediately.

Download and check the certificate

Confirm the company name, registration number, directors, addresses and other details before using the documents elsewhere.

The temporary name-reservation allowance in the table comes from the current CIPC notice on name-reservation delays. Published processing times start only after the relevant information, verification and payment are complete. This is why online answers can differ: they may measure different stages.

How to Get a Company Registration Number

You receive a company registration number when CIPC approves the incorporation and issues the CoR14.3 certificate. You do not buy the number separately.

For a private company, the number commonly follows a format such as 2026/123456/07:

  • The first four digits show the year of registration;
  • The middle digits are the unique enterprise number; and
  • The final code identifies the entity type. โ€œ07โ€ is commonly used for a private company.


If no name is reserved, the registration number becomes the company’s legal name with โ€œ(South Africa)โ€ added. CIPC confirms that a profit company can register this way and add a reserved name later through a name-change process.

Keep the registration number consistent across contracts, invoices, bank applications, tax records and supplier registrations. A typing error can create verification problems later.
